Welcome to Tab Manager Pro. By subscribing to or using our extension, you agree to these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By downloading, installing, or using Tab Manager Pro ("the Extension"), you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not use the Extension.

2. Description of Service

Tab Manager Pro is a Chrome browser extension that provides:

• AI-powered tab organization and categorization
• Smart domain-based tab grouping
• Advanced tab management tools
• Keyboard shortcuts
• Usage statistics
• Email support

3. Subscription and Pricing

3.1 Subscription Plans

• Monthly Plan: $4.99 per month, billed monthly
• Yearly Plan: $29 per year, billed annually (save 51%)

3.2 Payment

• All payments are processed securely through PayPal
• Prices are in USD and subject to applicable taxes
• You authorize us to charge your payment method on a recurring basis

3.3 Auto-Renewal

• Subscriptions automatically renew at the end of each billing period
• You will be charged the then-current subscription price
• You can cancel auto-renewal at any time through your PayPal account

4. License Grant

4.1 License Scope

Upon payment, we grant you a personal, non-transferable, non-exclusive license to use Tab Manager Pro on:

• One (1) device per subscription
• For personal or commercial use
• As long as your subscription is active and in good standing

4.2 License Restrictions

You may not:

• Share your license key with others
• Use one license on multiple devices simultaneously
• Reverse engineer, decompile, or disassemble the Extension
• Modify, adapt, or create derivative works
• Remove or alter any proprietary notices
• Resell or redistribute the Extension

5. Device Binding and Transfers

5.1 Device Binding

• Each license is bound to one device upon activation
• Device binding uses a unique fingerprint (extension ID + install time)
• Attempting to use one license on multiple devices will result in license deactivation

5.2 Device Transfer

• You may transfer your license to a new device once every 30 days
• Contact [email protected] to request a device reset
• Device transfers are granted at our discretion to prevent abuse

6. Refund Policy

6.1 30-Day Money-Back Guarantee

• We offer a full refund within 30 days of your initial purchase
• To request a refund, email [email protected]
• Refunds are processed within 5-7 business days
• After 30 days, all sales are final

6.2 Renewal Refunds

• Subscription renewals are non-refundable
• Cancel auto-renewal before the next billing date to avoid charges

7. Cancellation

7.1 How to Cancel

You can cancel your subscription at any time:

• Log into your PayPal account
• Go to Settings → Payments → Manage automatic payments
• Find Tab Manager Pro and click Cancel

7.2 Effect of Cancellation

• Your license remains active until the end of your current billing period
• No refund for the remaining time in your current period
• After expiration, Pro features will be disabled

8. Modifications to Service

We reserve the right to:

• Modify, suspend, or discontinue the Extension at any time
• Add, remove, or modify features
• Change subscription prices (with 30 days notice to existing subscribers)

We will make reasonable efforts to notify you of significant changes.

9. User Conduct

You agree not to:

• Use the Extension for any illegal purpose
• Attempt to bypass license verification
• Abuse or exploit bugs for personal gain
• Interfere with the Extension's security features
• Use automated tools to create fake licenses

10. Intellectual Property

All content, features, and functionality of Tab Manager Pro are owned by us and protected by copyright, trademark, and other intellectual property laws. This includes:

• Extension code and algorithms
• UI/UX design
• Brand name and logos
• Documentation and marketing materials

11. Disclaimer of Warranties

THE EXTENSION IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of data, profits, or business opportunities
• Damages arising from your use or inability to use the Extension

Our total liability shall not exceed the amount you paid in the past 12 months.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Extension
• Your violation of any third-party rights

14. Data and Privacy

Your use of the Extension is governed by our Privacy Policy. By using the Extension, you consent to our data practices as described in the Privacy Policy.

• License activation issues

16. Termination

16.1 Termination by You

You may terminate your subscription at any time as described in Section 7 (Cancellation).

16.2 Termination by Us

We may suspend or terminate your license immediately if you:

• Violate these Terms
• Engage in fraudulent activity
• Abuse the service or support
• Fail to pay subscription fees

No refund will be provided for terminations due to Terms violations.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

18. Dispute Resolution

Any disputes arising from these Terms or your use of the Extension shall be resolved through:

• Good faith negotiation
• Mediation if negotiation fails
• Binding arbitration as a last resort

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Updating the "Last Updated" date
• Sending an email to active subscribers
• Displaying a notice in the Extension

Your continued use after changes constitutes acceptance of the updated Terms.
